CAC to Enforce Mandatory Disclosure Requirements on Company Business Letters from August 1

Corporate Affairs Commission

The Corporate Affairs Commission (CAC) has given companies operating in Nigeria until August 1, 2026, to comply with statutory disclosure requirements for business letters, warning that non-compliance will attract sanctions.

The directive, announced in a public notice issued on Wednesday, is part of efforts to strengthen corporate transparency and ensure adherence to the provisions of the Companies and Allied Matters Act (CAMA) 2020. The Commission said that beginning August 1, it would commence full enforcement of Sections 304(1), 304(2) and 304(1)(c) of the Act, which prescribe the information every registered company must display on its business letters.

Under the law, companies are required to state in legible characters the present forename or initials and surname of their directors, any former forename and surname, the nationality of every non-Nigerian director, as well as the company’s registered name and registration number. According to the Commission, the enforcement exercise is aimed at improving corporate accountability and making it easier for customers, investors and regulators to identify businesses and their directors.

“The Commission wishes to inform the general public, esteemed customers and, in particular, companies registered under the Companies and Allied Matters Act 2020, that commencing on the 1st day of August 2026, it shall enforce the full application of the requirements relating to company business letters, with attendant sanctions for non-compliance,” the notice stated.

The CAC advised companies to review their letterheads and other official correspondence to ensure they comply with the legal requirements before the enforcement date. It added that compliance with the disclosure provisions would enhance transparency in business transactions while reinforcing confidence in Nigeria’s corporate regulatory system.

The Commission reaffirmed its commitment to promoting accountability, transparency and customer satisfaction through effective regulation of companies operating in the country. The notice, signed by the Commission’s management and dated July 8, 2026, serves as a formal reminder to businesses to update their business letters ahead of the commencement of enforcement next month.
